End User License Agreement
1. General
1.1 The following End User License Agreement ("EULA") represents the contractual conditions between you ("Licensee") and Francesco Sabatini, operating as Tonal Forms ("Tonal Forms"), for the use of software instruments, sound content, presets, related media, documentation, and other materials manufactured by Tonal Forms (each, a "Product").
1.2 By downloading, installing, or registering a Product, you declare yourself in agreement with these conditions. If you do not agree with these conditions, you must not download, install, or use the Product.
1.3 Tonal Forms Products are built on the Native Instruments Kontakt / Kontakt Player platform. Your use of Kontakt Player itself is governed separately by the Native Instruments End User License Agreement. This EULA governs only the Tonal Forms Product — the instrument, its scripting, samples, and presets — layered on top of that platform. Tonal Forms is not affiliated with, and this EULA is not issued by, Native Instruments GmbH.
2. Registration / Activation
2.1 Certain Products require a free Native Instruments account and Native Access to download and load the Product into Kontakt Player, in line with the minimum version requirements stated on the Product's page. Registration and activation of Kontakt Player itself is subject to Native Instruments' own terms, not this EULA.
2.2 Tonal Forms Products are currently released free of charge. Nothing in this Agreement obliges Tonal Forms to continue offering any Product free of charge in future versions or releases.
3. Scope of Use
3.1 Tonal Forms Products are protected by law. The intellectual property of the Products remains with Tonal Forms / Francesco Sabatini. Licensee acquires only the right to use the Product to the extent set out in this EULA. Any other use or exploitation not explicitly granted to Licensee in this EULA is not permitted without written consent from Tonal Forms. Specifically, Licensee is not entitled to copy, decompile, or reverse engineer the Product, its Kontakt scripting (KSP), or parts thereof. Licensee must take reasonable steps to ensure that third parties, including its own employees or collaborators, cannot make unauthorized use of the Product, and shall be liable to Tonal Forms for any loss or damage arising from a failure to do so.
3.2 Tonal Forms grants Licensee a non-exclusive right, without restriction in time or place, to use the Product for personal or commercial music production, sound design, composition, live performance, and similar creative purposes.
3.3 Licensee may install and personally use the Product on any number of devices Licensee owns or controls.
3.4 Licensee may copy the Product where necessary for the agreed use, including creating a backup copy to secure future use.
3.5 Licensee is not authorized to modify the underlying software or scripting of the Product, other than through the controls and parameters the Product itself exposes for ordinary use.
3.6 Third Parties
a) Renting, lending, reselling, or sublicensing the Product to a third party is expressly forbidden.
b) Licensee may not redistribute the Product itself, in whole or in part, whether modified or unmodified, whether free of charge or for payment.
3.7 Sound License Agreement
Where a Product includes samples, instruments, or presets, the following Sound License Agreement applies in addition to this EULA:
The samples, instruments, and presets provided as part of the Product may be used for commercial or non-commercial music and audio productions without further permission from Tonal Forms, under the terms of this Sound License Agreement. The use of this Product — in particular its samples, instruments, and presets — for the creation of a sound library, or as source material for any synthesizer, virtual instrument, sample library, sample-based product, or other musical instrument, is strictly prohibited. Individual samples, sound sets, or audio loops may not be distributed, commercially or otherwise, as standalone assets, nor repackaged in whole or in part as audio samples, sound libraries, or sound effects.
Licensee is expressly not permitted to use the Product, or any samples, instruments, presets, recordings, or other sound content derived from it, to train, fine-tune, validate, or otherwise develop any artificial intelligence, machine learning model, or generative audio system, whether for internal, research, or commercial purposes, and whether the resulting model is used to generate audio, analyze audio, or for any other purpose. This restriction applies regardless of whether the Product or its content is used directly or is first converted, sampled, resynthesized, or otherwise transformed.
3.8 Demo or NFR versions of a Product, where labeled as such, may only be used for demonstration, testing, and evaluation purposes, and must not be used for commercial purposes, resold, or transferred.
4. Third Party Rights
Some content included in Tonal Forms Products, as well as any associated intellectual property rights, may belong to third parties and may be protected by copyright or other intellectual property laws and treaties. A list of relevant third-party software licenses, where applicable, is provided separately with the Product.
5. Duties to Protect
Copyright notices, credits, and other identification features of the Product may not be removed or altered in any way.
6. Warranty, Legal Liability, Damages
The Product is provided "as is" and "as available," free of charge, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Tonal Forms does not warrant that the Product will be error-free, uninterrupted, or compatible with every system configuration. To the maximum extent permitted by applicable law, Tonal Forms shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to the use of, or inability to use, the Product. Nothing in this Agreement excludes liability that cannot be excluded under applicable law, including liability for intent or gross negligence.
7. Final Provisions
7.1 If any stipulation of this EULA should be or become invalid, either completely or in part, this shall not affect the validity of the remaining stipulations. The parties undertake instead to replace the invalid stipulation with a valid regulation which comes as close as possible to the purpose originally intended.
7.2 This EULA is subject to the laws of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG), without prejudice to any mandatory consumer-protection provisions of the country in which Licensee is a resident.
Endnutzer-Lizenzvereinbarung
1. Allgemeine Bestimmungen
1.1 Die vorliegende Endnutzer-Lizenzvereinbarung (im Folgenden „Lizenzvereinbarung") bildet die vertragliche Grundlage zwischen Ihnen (im Folgenden „Lizenznehmer") und Francesco Sabatini, handelnd unter der Marke Tonal Forms (im Folgenden „Tonal Forms"), für die Nutzung von Software-Instrumenten, Klanginhalten, Presets, zugehörigen Medien, Dokumentationen und sonstigen von Tonal Forms hergestellten Materialien (im Folgenden jeweils „Produkt").
1.2 Durch das Herunterladen, Installieren oder Registrieren eines Produkts erklären Sie sich mit dieser Lizenzvereinbarung einverstanden. Wenn Sie dieser Lizenzvereinbarung nicht zustimmen, sind Sie nicht berechtigt, das Produkt herunterzuladen, zu installieren oder zu nutzen.
1.3 Produkte von Tonal Forms basieren auf der Native Instruments Kontakt / Kontakt Player-Plattform. Die Nutzung von Kontakt Player selbst unterliegt separat der Endnutzer-Lizenzvereinbarung von Native Instruments. Die vorliegende Lizenzvereinbarung regelt ausschließlich das Tonal Forms Produkt – das Instrument, seine Skripte, Samples und Presets –, das auf dieser Plattform aufsetzt. Tonal Forms ist nicht mit Native Instruments GmbH verbunden, und diese Lizenzvereinbarung wird nicht von Native Instruments herausgegeben.
2. Registrierung / Aktivierung
2.1 Für bestimmte Produkte ist ein kostenloser Native Instruments Account sowie Native Access erforderlich, um das Produkt herunterzuladen und in Kontakt Player zu laden, entsprechend den auf der jeweiligen Produktseite angegebenen Mindestanforderungen. Registrierung und Aktivierung von Kontakt Player selbst unterliegen den eigenen Bedingungen von Native Instruments, nicht dieser Lizenzvereinbarung.
2.2 Produkte von Tonal Forms werden derzeit kostenlos zur Verfügung gestellt. Nichts in dieser Vereinbarung verpflichtet Tonal Forms dazu, ein Produkt auch in zukünftigen Versionen oder Veröffentlichungen kostenlos anzubieten.
3. Nutzungsrechte
3.1 Die Produkte von Tonal Forms sind rechtlich geschützt. Das geistige Eigentum an den Produkten verbleibt bei Tonal Forms / Francesco Sabatini. Der Lizenznehmer erwirbt lediglich das Recht, das Produkt im in dieser Lizenzvereinbarung festgelegten Umfang zu nutzen. Jede andere Nutzung oder Verwertung, die dem Lizenznehmer in dieser Lizenzvereinbarung nicht ausdrücklich eingeräumt wird, ist ohne schriftliche Zustimmung von Tonal Forms nicht gestattet. Insbesondere ist der Lizenznehmer nicht berechtigt, das Produkt, dessen Kontakt-Skripte (KSP) oder Teile hiervon zu kopieren, zu dekompilieren oder zurückzuentwickeln. Der Lizenznehmer hat durch angemessene Maßnahmen sicherzustellen, dass Dritte, einschließlich eigener Mitarbeiter oder Mitwirkender, das Produkt nicht unberechtigt nutzen können, und haftet gegenüber Tonal Forms für Verluste oder Schäden, die aus einer Verletzung dieser Pflicht entstehen.
3.2 Tonal Forms räumt dem Lizenznehmer ein nicht-ausschließliches, zeitlich und räumlich unbeschränktes Recht ein, das Produkt für persönliche oder kommerzielle Musikproduktion, Sounddesign, Komposition, Live-Auftritte und ähnliche kreative Zwecke zu nutzen.
3.3 Der Lizenznehmer darf das Produkt auf einer beliebigen Anzahl von Geräten installieren und persönlich nutzen, die er besitzt oder kontrolliert.
3.4 Der Lizenznehmer darf das Produkt kopieren, soweit dies für die vereinbarte Nutzung erforderlich ist, einschließlich der Anfertigung einer Sicherungskopie zur Sicherung der künftigen Nutzung.
3.5 Der Lizenznehmer ist nicht berechtigt, die zugrunde liegende Software oder Skripte des Produkts zu verändern, außer über die vom Produkt selbst für die reguläre Nutzung bereitgestellten Steuerungselemente und Parameter.
3.6 Weitergabe an Dritte
a) Die Vermietung, Verleihung, der Weiterverkauf oder die Unterlizenzierung des Produkts an Dritte ist ausdrücklich untersagt.
b) Der Lizenznehmer darf das Produkt selbst, ganz oder teilweise, unverändert oder verändert, weder kostenlos noch gegen Entgelt weiterverbreiten.
3.7 Sound-Lizenzvereinbarung
Soweit ein Produkt Samples, Instrumente oder Presets enthält, gilt zusätzlich zu dieser Lizenzvereinbarung die folgende Sound-Lizenzvereinbarung:
Die im Produkt enthaltenen Samples, Instrumente und Presets dürfen ohne weitere Zustimmung von Tonal Forms für kommerzielle oder nicht-kommerzielle Musik- und Audioproduktionen im Rahmen dieser Sound-Lizenzvereinbarung genutzt werden. Die Nutzung dieses Produkts – insbesondere seiner Samples, Instrumente und Presets – zur Erstellung einer Sound Library oder als Ausgangsmaterial für Synthesizer, virtuelle Instrumente, Sample Libraries, sample-basierte Produkte oder andere Musikinstrumente ist strikt untersagt. Einzelne Samples, Sound Sets oder Audio-Loops dürfen weder kommerziell noch anderweitig als eigenständige Inhalte verbreitet noch ganz oder teilweise als Audiosamples, Sound Libraries oder Soundeffekte neu verpackt werden.
Dem Lizenznehmer ist es ausdrücklich untersagt, das Produkt oder daraus abgeleitete Samples, Instrumente, Presets, Aufnahmen oder sonstige Klanginhalte zum Trainieren, Feintunen, Validieren oder zur sonstigen Entwicklung von künstlicher Intelligenz, Machine-Learning-Modellen oder generativen Audiosystemen zu verwenden – sei es zu internen, Forschungs- oder kommerziellen Zwecken, und unabhängig davon, ob das resultierende Modell zur Erzeugung von Audio, zur Analyse von Audio oder zu anderen Zwecken eingesetzt wird. Diese Beschränkung gilt unabhängig davon, ob das Produkt oder dessen Inhalte direkt verwendet oder zuvor konvertiert, gesampelt, resynthetisiert oder anderweitig transformiert werden.
3.8 Demo- oder NFR-Versionen eines Produkts dürfen, sofern als solche gekennzeichnet, ausschließlich zu Demonstrations-, Test- und Bewertungszwecken genutzt werden und dürfen nicht kommerziell genutzt, weiterverkauft oder übertragen werden.
4. Schutzrechte Dritter
Einige in Tonal Forms Produkten enthaltene Inhalte sowie damit verbundene Rechte am geistigen Eigentum können Dritten gehören und durch Urheberrecht oder andere Gesetze und Abkommen zum Schutz geistigen Eigentums geschützt sein. Eine Liste relevanter Software-Lizenzen Dritter wird, soweit zutreffend, gesondert mit dem Produkt bereitgestellt.
5. Schutzpflichten
Urhebervermerke, Credits und sonstige Kennzeichnungsmerkmale des Produkts dürfen nicht entfernt oder verändert werden.
6. Gewährleistung, Haftung, Schadensersatz
Das Produkt wird „wie besehen" und „wie verfügbar", kostenlos und ohne Gewährleistung jeglicher Art, weder ausdrücklich noch stillschweigend, bereitgestellt, einschließlich, aber nicht beschränkt auf Gewährleistungen der Marktgängigkeit, der Eignung für einen bestimmten Zweck oder der Nichtverletzung von Rechten Dritter. Tonal Forms gewährleistet nicht, dass das Produkt fehlerfrei, unterbrechungsfrei oder mit jeder Systemkonfiguration kompatibel ist. Soweit gesetzlich zulässig, haftet Tonal Forms nicht für indirekte, zufällige, besondere, Folge- oder Strafschäden oder für Verlust von Daten, Einnahmen oder Gewinnen, die aus der Nutzung oder Nichtnutzbarkeit des Produkts entstehen. Nichts in dieser Vereinbarung schließt eine Haftung aus, die nach geltendem Recht nicht ausgeschlossen werden kann, einschließlich der Haftung für Vorsatz oder grobe Fahrlässigkeit.
7. Schlussbestimmungen
7.1 Sollte eine Bestimmung dieser Lizenzvereinbarung ganz oder teilweise unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen hiervon unberührt. Die Parteien verpflichten sich, die unwirksame Bestimmung durch eine wirksame Regelung zu ersetzen, die dem ursprünglich beabsichtigten Zweck möglichst nahekommt.
7.2 Diese Lizenzvereinbarung unterliegt dem Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Übereinkommens über den internationalen Warenkauf (CISG), unbeschadet zwingender verbraucherschützender Bestimmungen des Landes, in dem der Lizenznehmer seinen Wohnsitz hat.

1. Dispositions générales
1.1 Le présent accord de licence utilisateur final (ci-après « accord de licence ») constitue la base contractuelle entre vous (ci-après le « preneur de licence ») et Francesco Sabatini, exerçant sous la marque Tonal Forms (ci-après « Tonal Forms »), concernant l'utilisation d'instruments logiciels, de contenus sonores, de presets, de médias associés, de documentations et d'autres matériels produits par Tonal Forms (ci-après chacun un « Produit »).
1.2 En téléchargeant, installant ou enregistrant un Produit, vous déclarez accepter le présent accord de licence. Si vous n'acceptez pas cet accord, vous n'êtes pas autorisé à télécharger, installer ou utiliser le Produit.
1.3 Les Produits Tonal Forms reposent sur la plateforme Kontakt / Kontakt Player de Native Instruments. L'utilisation de Kontakt Player elle-même est régie séparément par l'accord de licence utilisateur final de Native Instruments. Le présent accord ne régit que le Produit Tonal Forms – l'instrument, ses scripts, ses échantillons et ses presets – qui s'appuie sur cette plateforme. Tonal Forms n'est pas affilié à Native Instruments GmbH, et le présent accord n'est pas émis par Native Instruments.
2. Enregistrement / Activation
2.1 Certains Produits nécessitent un compte Native Instruments gratuit et Native Access pour être téléchargés et chargés dans Kontakt Player, conformément aux exigences minimales indiquées sur la page du Produit. L'enregistrement et l'activation de Kontakt Player lui-même sont soumis aux propres conditions de Native Instruments, et non au présent accord.
2.2 Les Produits Tonal Forms sont actuellement proposés gratuitement. Rien dans le présent accord n'oblige Tonal Forms à continuer de proposer un Produit gratuitement dans de futures versions ou publications.
3. Droits d'exploitation
3.1 Les Produits Tonal Forms sont protégés par la loi. La propriété intellectuelle des Produits reste la propriété de Tonal Forms / Francesco Sabatini. Le preneur de licence n'acquiert que le droit d'utiliser le Produit dans les limites fixées par le présent accord. Toute autre utilisation ou exploitation non explicitement accordée au preneur de licence dans cet accord n'est pas autorisée sans le consentement écrit de Tonal Forms. En particulier, le preneur de licence n'est pas autorisé à copier, décompiler ou effectuer une rétro-ingénierie du Produit, de ses scripts Kontakt (KSP) ou de parties de celui-ci. Le preneur de licence doit prendre des mesures raisonnables pour s'assurer que des tiers, y compris ses propres employés ou collaborateurs, ne puissent pas utiliser le Produit sans autorisation, et sera responsable envers Tonal Forms de toute perte ou dommage résultant d'un manquement à cette obligation.
3.2 Tonal Forms accorde au preneur de licence un droit non exclusif, sans limitation de durée ni de lieu, d'utiliser le Produit à des fins de production musicale personnelle ou commerciale, de conception sonore, de composition, de performance live et à des fins créatives similaires.
3.3 Le preneur de licence peut installer et utiliser personnellement le Produit sur un nombre illimité d'appareils qu'il possède ou contrôle.
3.4 Le preneur de licence peut copier le Produit dans la mesure nécessaire à l'utilisation convenue, y compris pour réaliser une copie de sauvegarde afin de garantir une utilisation future.
3.5 Le preneur de licence n'est pas autorisé à modifier le logiciel ou les scripts sous-jacents du Produit, hormis par le biais des commandes et paramètres que le Produit met lui-même à disposition pour une utilisation normale.
3.6 Cession à des tiers
a) La location, le prêt, la revente ou la sous-licence du Produit à un tiers sont expressément interdits.
b) Le preneur de licence ne peut redistribuer le Produit lui-même, en tout ou en partie, modifié ou non, gratuitement ou contre paiement.
3.7 Accord de licence sonore
Lorsqu'un Produit comprend des échantillons, des instruments ou des presets, l'accord de licence sonore suivant s'applique en complément du présent accord de licence :
Les échantillons, instruments et presets fournis dans le cadre du Produit peuvent être utilisés à des fins de production musicale et audio commerciale ou non commerciale sans autorisation supplémentaire de Tonal Forms, dans les conditions du présent accord de licence sonore. L'utilisation de ce Produit — en particulier de ses échantillons, instruments et presets — pour créer une bibliothèque de sons, ou comme matériau source pour tout synthétiseur, instrument virtuel, bibliothèque d'échantillons, produit basé sur des échantillons ou autre instrument de musique, est strictement interdite. Les échantillons individuels, jeux de sons ou boucles audio ne peuvent être distribués, commercialement ou autrement, en tant qu'éléments autonomes, ni reconditionnés en tout ou en partie sous forme d'échantillons audio, de bibliothèques de sons ou d'effets sonores.
Le preneur de licence n'est expressément pas autorisé à utiliser le Produit, ni aucun échantillon, instrument, preset, enregistrement ou autre contenu sonore qui en est dérivé, pour entraîner, affiner, valider ou développer de toute autre manière une intelligence artificielle, un modèle d'apprentissage automatique ou un système audio génératif, que ce soit à des fins internes, de recherche ou commerciales, et que le modèle résultant soit utilisé pour générer de l'audio, analyser de l'audio ou à toute autre fin. Cette restriction s'applique que le Produit ou son contenu soit utilisé directement, ou qu'il soit préalablement converti, échantillonné, resynthétisé ou autrement transformé.
3.8 Les versions démo ou NFR d'un Produit, lorsqu'elles sont désignées comme telles, ne peuvent être utilisées qu'à des fins de démonstration, de test et d'évaluation, et ne doivent pas être utilisées à des fins commerciales, revendues ou cédées.
4. Droits des tiers
Certains contenus inclus dans les Produits Tonal Forms, ainsi que les droits de propriété intellectuelle associés, peuvent appartenir à des tiers et être protégés par le droit d'auteur ou d'autres lois et traités relatifs à la propriété intellectuelle. Une liste des licences logicielles tierces pertinentes, le cas échéant, est fournie séparément avec le Produit.
5. Obligations de protection
Les mentions de droits d'auteur, crédits et autres éléments d'identification du Produit ne peuvent être supprimés ou modifiés d'aucune manière.
6. Garantie, responsabilité, dommages et intérêts
Le Produit est fourni « tel quel » et « selon disponibilité », gratuitement, sans garantie d'aucune sorte, expresse ou implicite, y compris, mais sans s'y limiter, les garanties de qualité marchande, d'adéquation à un usage particulier ou d'absence de contrefaçon. Tonal Forms ne garantit pas que le Produit sera exempt d'erreurs, ininterrompu, ou compatible avec toute configuration système. Dans toute la mesure permise par la loi applicable, Tonal Forms ne pourra être tenu responsable de dommages indirects, accessoires, spéciaux, consécutifs ou punitifs, ni de toute perte de données, de revenus ou de profits, résultant de l'utilisation ou de l'impossibilité d'utiliser le Produit. Rien dans le présent accord n'exclut une responsabilité qui ne peut être exclue en vertu du droit applicable, y compris la responsabilité en cas de dol ou de faute lourde.
7. Dispositions finales
7.1 Si une disposition du présent accord devait être ou devenir invalide, en tout ou en partie, cela n'affectera pas la validité des autres dispositions. Les parties s'engagent à remplacer la disposition invalide par une disposition valide se rapprochant le plus possible de l'objectif initialement visé.
7.2 Le présent accord est régi par le droit de la République fédérale d'Allemagne, à l'exclusion de la Convention des Nations Unies sur les contrats de vente internationale de marchandises (CVIM), sans préjudice des dispositions impératives de protection des consommateurs du pays de résidence du preneur de licence.
ソフトウェア利用許諾契約
I. 一般条項
1.1 本ソフトウェア使用許諾契約書（以下「本EULA」とします）は、お客様（以下「ライセンシー」とします）と、Tonal Formsの名称で活動するFrancesco Sabatini（以下「Tonal Forms」とします）との間で、Tonal Formsが制作したソフトウェア・インストゥルメント、サウンドコンテンツ、プリセット、関連メディア、資料、その他の素材（以下、それぞれ「製品」とします）の使用権の許諾に関する条件を定めるものです。
1.2 製品をダウンロード、インストール、または登録した時点で、お客様は本条件にご同意いただいたものとします。本条件にご同意いただけない場合、製品をダウンロード、インストール、または使用することはできません。
1.3 Tonal Formsの製品は、Native InstrumentsのKontakt / Kontakt Playerプラットフォーム上で構築されています。Kontakt Player自体の使用は、Native Instrumentsのソフトウェア使用許諾契約により別途規定されます。本EULAは、Tonal Forms製品――インストゥルメント本体、そのスクリプト、サンプル、プリセット――のみを規定するものであり、Tonal FormsはNative Instruments GmbHとは提携関係になく、本EULAはNative Instrumentsが発行するものではありません。
II. 登録／アクティベーション
2.1 一部の製品では、製品ページに記載された最低要件に従い、製品をダウンロードしてKontakt Playerに読み込むために、無料のNative Instrumentsアカウントおよび Native Access が必要です。Kontakt Player自体の登録およびアクティベーションは、本EULAではなくNative Instruments独自の条件に従います。
2.2 Tonal Formsの製品は現在無償で提供されています。本契約のいかなる規定も、将来のバージョンやリリースにおいてTonal Formsが製品を引き続き無償で提供する義務を負うものではありません。
III. 使用範囲
3.1 Tonal Formsの製品は法律により保護されています。製品の知的財産権はTonal Forms／Francesco Sabatiniに帰属します。ライセンシーは、本EULAに定める範囲内でのみ製品を使用する権利を取得します。本EULAでライセンシーに明確に許諾されていないその他の使用または利用は、Tonal Formsによる書面の同意なしには許可されません。具体的には、ライセンシーは製品、そのKontaktスクリプト（KSP）、またはその一部を複製、逆コンパイル、またはリバースエンジニアリングしてはならないものとします。ライセンシーは、自社の従業員や協力者を含む第三者が製品を不正に使用できないよう、合理的な手段を講じなければならず、この義務の違反から生じるあらゆる損失または損害についてTonal Formsに対し責任を負うものとします。
3.2 Tonal Formsは、個人的または商業的な音楽制作、サウンドデザイン、作曲、ライブパフォーマンス、その他これに類する創作目的のために、使用時間および使用場所に関して制限のない非独占的な権利をライセンシーに許諾します。
3.3 ライセンシーは、自己が所有または管理する任意の台数の機器に製品をインストールし、個人的に使用することができます。
3.4 ライセンシーは、合意された使用のために必要な場合、製品を複製することができます。これには、将来の使用を確保するためのバックアップコピーの作成を含みます。
3.5 ライセンシーは、製品自体が通常の使用のために提供する操作・パラメータを通じて行う場合を除き、製品の基盤となるソフトウェアまたはスクリプトを改変してはならないものとします。
3.6 第三者への譲渡
a) 製品を第三者に貸与、賃貸、転売、またはサブライセンスすることは明確に禁止されています。
b) ライセンシーは、製品自体を、全体または一部、改変の有無にかかわらず、無償・有償を問わず再配布してはならないものとします。
3.7 サウンドライセンス契約
製品にサンプル、インストゥルメント、またはプリセットが含まれる場合、本EULAに加えて以下のサウンドライセンス契約が適用されます。
製品に含まれるサンプル、インストゥルメント、プリセットは、本サウンドライセンス契約に基づき、Tonal Formsの追加の許可なしに、商用または非商用の音楽・オーディオ制作に使用することができます。ただし、本製品――特にそのサンプル、インストゥルメント、プリセット――を、サウンドライブラリの作成、またはあらゆる種類のシンセサイザー、バーチャル・インストゥルメント、サンプルライブラリ、サンプルベースの製品、その他の音楽インストゥルメントの素材として使用することは固く禁じられています。個々のサンプル、サウンドセット、またはオーディオループを、商用またはその他の方法で単体として配布すること、あるいはその全体または一部をオーディオサンプル、サウンドライブラリ、サウンドエフェクトとして再パッケージすることはできません。
ライセンシーは、製品、またはそこから派生したサンプル、インストゥルメント、プリセット、録音物その他のサウンドコンテンツを、内部利用、研究目的、商業目的のいずれであるかを問わず、また生成されたモデルがオーディオの生成、オーディオの解析、その他いかなる目的で使用されるかを問わず、人工知能、機械学習モデル、または生成型オーディオシステムの学習、ファインチューニング、検証、その他の開発に使用することを明確に禁止されます。この制限は、製品またはそのコンテンツが直接使用される場合か、あるいは事前に変換、サンプリング、再合成、またはその他の方法で変形される場合かを問わず適用されます。
3.8 デモ版またはNFR版として明示された製品は、デモンストレーション、テスト、評価の目的にのみ使用するものとし、商業目的での使用、転売、譲渡はできません。
IV. 第三者の権利
Tonal Formsの製品に含まれる一部のコンテンツ、およびこれに関連する知的財産権は、第三者に帰属する場合があり、著作権その他の知的財産に関する法律や条約により保護されている場合があります。該当する第三者ソフトウェアライセンスの一覧は、該当する場合、製品とともに別途提供されます。
V. 保護義務
製品の著作権表示、クレジット、その他の識別情報は、削除または改変してはならないものとします。
VI. 保証、法的責任、損害賠償
製品は「現状有姿」および「提供可能な範囲」で、無償かつ、商品性、特定目的への適合性、権利非侵害の保証を含むがこれに限定されない、明示または黙示を問わずいかなる保証もなしに提供されます。Tonal Formsは、製品がエラーなく動作すること、中断なく利用できること、またはあらゆるシステム構成と互換性があることを保証するものではありません。適用法で認められる最大限の範囲において、Tonal Formsは、製品の使用または使用不能から生じる間接的、付随的、特別、結果的、または懲罰的な損害、あるいはデータ、収益、利益の損失について責任を負わないものとします。本契約のいかなる規定も、適用法上排除できない責任（故意または重過失に対する責任を含む）を排除するものではありません。
VII. 最終条項
7.1 本EULAのいずれかの規定が全部または一部無効である、または無効となった場合であっても、その他の規定の有効性には影響しないものとします。両当事者は、無効な規定を、当初意図された目的にできる限り近い有効な規定に置き換えることに合意します。
7.2 本EULAは、国際物品売買契約に関する国際連合条約（CISG）の適用を排除した上で、ドイツ連邦共和国の法律に準拠するものとします。ただし、ライセンシーが居住する国の強行法規である消費者保護規定がある場合は、これを妨げないものとします。
