1. General

1.1 The following End User License Agreement ("EULA") represents the contractual conditions between you ("Licensee") and Francesco Sabatini, operating as Tonal Forms ("Tonal Forms"), for the use of software instruments, sound content, presets, related media, documentation, and other materials manufactured by Tonal Forms (each, a "Product").

1.2 By downloading, installing, or registering a Product, you declare yourself in agreement with these conditions. If you do not agree with these conditions, you must not download, install, or use the Product.

1.3 Tonal Forms Products are built on the Native Instruments Kontakt / Kontakt Player platform. Your use of Kontakt Player itself is governed separately by the Native Instruments End User License Agreement. This EULA governs only the Tonal Forms Product — the instrument, its scripting, samples, and presets — layered on top of that platform. Tonal Forms is not affiliated with, and this EULA is not issued by, Native Instruments GmbH.

2. Registration / Activation

2.1 Certain Products require a free Native Instruments account and Native Access to download and load the Product into Kontakt Player, in line with the minimum version requirements stated on the Product's page. Registration and activation of Kontakt Player itself is subject to Native Instruments' own terms, not this EULA.

2.2 Tonal Forms Products are currently released free of charge. Nothing in this Agreement obliges Tonal Forms to continue offering any Product free of charge in future versions or releases.

3. Scope of Use

3.1 Tonal Forms Products are protected by law. The intellectual property of the Products remains with Tonal Forms / Francesco Sabatini. Licensee acquires only the right to use the Product to the extent set out in this EULA. Any other use or exploitation not explicitly granted to Licensee in this EULA is not permitted without written consent from Tonal Forms. Specifically, Licensee is not entitled to copy, decompile, or reverse engineer the Product, its Kontakt scripting (KSP), or parts thereof. Licensee must take reasonable steps to ensure that third parties, including its own employees or collaborators, cannot make unauthorized use of the Product, and shall be liable to Tonal Forms for any loss or damage arising from a failure to do so.

3.2 Tonal Forms grants Licensee a non-exclusive right, without restriction in time or place, to use the Product for personal or commercial music production, sound design, composition, live performance, and similar creative purposes.

3.3 Licensee may install and personally use the Product on any number of devices Licensee owns or controls.

3.4 Licensee may copy the Product where necessary for the agreed use, including creating a backup copy to secure future use.

3.5 Licensee is not authorized to modify the underlying software or scripting of the Product, other than through the controls and parameters the Product itself exposes for ordinary use.

3.6 Third Parties

a) Renting, lending, reselling, or sublicensing the Product to a third party is expressly forbidden.

b) Licensee may not redistribute the Product itself, in whole or in part, whether modified or unmodified, whether free of charge or for payment.

3.7 Sound License Agreement

Where a Product includes samples, instruments, or presets, the following Sound License Agreement applies in addition to this EULA:

The samples, instruments, and presets provided as part of the Product may be used for commercial or non-commercial music and audio productions without further permission from Tonal Forms, under the terms of this Sound License Agreement. The use of this Product — in particular its samples, instruments, and presets — for the creation of a sound library, or as source material for any synthesizer, virtual instrument, sample library, sample-based product, or other musical instrument, is strictly prohibited. Individual samples, sound sets, or audio loops may not be distributed, commercially or otherwise, as standalone assets, nor repackaged in whole or in part as audio samples, sound libraries, or sound effects.

Licensee is expressly not permitted to use the Product, or any samples, instruments, presets, recordings, or other sound content derived from it, to train, fine-tune, validate, or otherwise develop any artificial intelligence, machine learning model, or generative audio system, whether for internal, research, or commercial purposes, and whether the resulting model is used to generate audio, analyze audio, or for any other purpose. This restriction applies regardless of whether the Product or its content is used directly or is first converted, sampled, resynthesized, or otherwise transformed.

3.8 Demo or NFR versions of a Product, where labeled as such, may only be used for demonstration, testing, and evaluation purposes, and must not be used for commercial purposes, resold, or transferred.

4. Third Party Rights

Some content included in Tonal Forms Products, as well as any associated intellectual property rights, may belong to third parties and may be protected by copyright or other intellectual property laws and treaties. A list of relevant third-party software licenses, where applicable, is provided separately with the Product.

5. Duties to Protect

Copyright notices, credits, and other identification features of the Product may not be removed or altered in any way.

6. Warranty, Legal Liability, Damages

The Product is provided "as is" and "as available," free of charge, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Tonal Forms does not warrant that the Product will be error-free, uninterrupted, or compatible with every system configuration. To the maximum extent permitted by applicable law, Tonal Forms shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to the use of, or inability to use, the Product. Nothing in this Agreement excludes liability that cannot be excluded under applicable law, including liability for intent or gross negligence.

7. Final Provisions

7.1 If any stipulation of this EULA should be or become invalid, either completely or in part, this shall not affect the validity of the remaining stipulations. The parties undertake instead to replace the invalid stipulation with a valid regulation which comes as close as possible to the purpose originally intended.

7.2 This EULA is subject to the laws of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG), without prejudice to any mandatory consumer-protection provisions of the country in which Licensee is a resident.
